The meeting was convened to approve the main financial documents and to take strategic decisions related to corporate governance and financial management, within a context marked by ongoing industrial integration processes.<\/p>\n<p data-start=\"600\" data-end=\"1109\">As part of this process, the meeting approved the 2025 financial statements of <strong><span class=\"hover:entity-accent entity-underline inline cursor-pointer align-baseline\"><span class=\"whitespace-normal\">Bavelloni<\/span><\/span><\/strong>, a wholly owned company that was merged into Biesse at the end of February. Considering that the legal effects of the merger will take place from April 1, 2026, the resolution was adopted by the shareholders\u2019 meeting of the acquiring company. The figures show a net loss of \u20ac8.7 million, fully covered through the use of the reserves of the merged entity.<\/p>\n<p data-start=\"1111\" data-end=\"1455\">The shareholders also approved Biesse\u2019s 2025 separate financial statements and the consolidated accounts, without any amendments compared to the draft already endorsed by the board of directors. In line with the board\u2019s proposal, the meeting decided not to distribute any dividend for the financial year, opting instead for a policy aimed at strengthening the company\u2019s capital structure.<\/p>\n<p data-start=\"1457\" data-end=\"1852\">Regarding loss coverage, the meeting resolved to offset the net loss, amounting to <strong>over \u20ac15.2 million<\/strong>, through the use of the extraordinary reserve. From the same reserve, approximately \u20ac673 thousand will also be allocated to create a non-distributable reserve related to net foreign exchange gains, in accordance with applicable civil law provisions.<\/p>\n<p data-start=\"1854\" data-end=\"2224\">On the governance front, the meeting appointed <strong><span class=\"hover:entity-accent entity-underline inline cursor-pointer align-baseline\"><span class=\"whitespace-normal\">Salvatore Giordano<\/span><\/span><\/strong> and <strong><span class=\"hover:entity-accent entity-underline inline cursor-pointer align-baseline\"><span class=\"whitespace-normal\">Pier Giorgio Bedogni<\/span><\/span><\/strong> as board members, both previously co-opted during 2025.
